1. Introduction

Welcome to SheScale (“we,” “our,” or “us”). SheScale is a dropshipping platform designed to empower women entrepreneurs across India to launch and grow their own online clothing businesses. By accessing or using our website, mobile application, or any of our services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Platform.

These Terms constitute a legally binding agreement between you and SheScale. Please read them carefully before using the Platform.

2. Account Terms

To use certain features of the Platform, you must create an account. When creating an account, you agree to the following:

• You must be at least 18 years of age to create an account and use the Platform.
• You must provide accurate, complete, and current information during registration and keep your account information updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately of any unauthorised use of your account or any other security breach.
• We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, misleading, or incomplete.

3. Seller Terms

As a seller on SheScale, you operate your own branded online store powered by our Platform. The following terms apply to all sellers:

• You may select products from our catalogue, set your own selling prices, and share your store link to generate sales.
• You are responsible for promoting your store through your own channels such as WhatsApp, social media, and personal networks.
• You must not make false or misleading claims about products, pricing, delivery timelines, or your association with SheScale.
• SheScale handles product sourcing, quality control, packaging, shipping, and delivery on your behalf. You are not required to hold inventory.
• You agree to comply with all applicable Indian laws and regulations in the conduct of your business on the Platform.

4. Vendor Terms

Vendors who supply products to the SheScale catalogue agree to the following:

• All products listed must be accurately described, including material composition, sizing, and images that represent the actual product.
• Vendors must maintain consistent product quality and fulfil orders within the agreed timeframes.
• Vendors are responsible for ensuring that their products comply with all applicable laws, including consumer protection and textile labelling regulations in India.
• SheScale reserves the right to remove any product from the catalogue that does not meet our quality standards or receives repeated customer complaints.
• Vendor partnership terms, commission structures, and payout schedules are governed by the separate Vendor Agreement executed at the time of onboarding.

5. Payments & Payouts

SheScale facilitates payments between buyers, sellers, and vendors. The following terms govern financial transactions on the Platform:

• Sellers earn profit on each order, calculated as the difference between the selling price set by the seller and the base price of the product.
• Profits are credited to your SheScale wallet after successful delivery and completion of the return/exchange window for each order.
• You may withdraw funds from your wallet to your registered bank account. Withdrawals are processed within 3 to 5 business days.
• SheScale is not responsible for delays caused by banking institutions or payment gateway providers.
• All prices displayed on the Platform are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.
• We reserve the right to withhold payouts if we suspect fraudulent activity, policy violations, or unresolved disputes.

6. Shipping & Returns

SheScale manages shipping and logistics for all orders placed through the Platform:

• We strive to deliver orders within the estimated delivery timeframes displayed at checkout, but delivery dates are estimates and not guarantees.
• Shipping is available across India. Delivery timelines vary based on the destination and availability of courier services.
• Buyers may request returns or exchanges in accordance with our Return Policy, which is available on the Platform.
• In the event of a return, the corresponding seller’s profit for that order will be reversed from their wallet.
• SheScale is not liable for delays caused by courier services, natural disasters, or circumstances beyond our reasonable control.

7. Prohibited Activities

You agree not to engage in any of the following activities while using the Platform:

• Using the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Creating fake accounts, placing fraudulent orders, or engaging in any form of deceptive or manipulative behaviour.
• Scraping, copying, or extracting data from the Platform without prior written consent from SheScale.
• Interfering with the Platform’s infrastructure, security features, or the accounts of other users.
• Impersonating SheScale, its employees, or other users of the Platform.
• Sending spam, unsolicited messages, or engaging in any form of harassment through the Platform.
• Attempting to reverse-engineer, decompile, or disassemble any part of the Platform’s software or technology.

8. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, icons, images, software, and design — are the exclusive property of SheScale or its licensors and are protected by Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose. You may not reproduce, distribute, modify, create derivative works of, or publicly display any content from the Platform without our prior written permission.

Product images and descriptions provided by vendors remain the intellectual property of the respective vendors. Sellers are granted a licence to use these materials solely for the purpose of promoting and selling products through their SheScale store.

9. Limitation of Liability

To the fullest extent permitted by applicable law, SheScale and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total liability to you for any claims arising from or related to these Terms or your use of the Platform shall not exceed the total amount of payouts credited to your wallet in the six (6) months preceding the event giving rise to the claim.

The Platform is provided on an “as is” and “as available” basis. We make no warranties or representations, express or implied, regarding the Platform’s reliability, availability, or suitability for any particular purpose.

10. Termination

You may close your account at any time by contacting us at support@shescale.in. Upon account closure, any pending payouts will be processed and credited to your bank account, subject to the completion of outstanding orders and the return window.

We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or if continued use of the Platform poses a risk to SheScale or its users.

Upon termination, your right to access and use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in effect.

11. Changes to Terms

We may update or modify these Terms from time to time at our sole discretion. When we make material changes, we will notify you by updating the “Last updated” date at the top of this page and, where appropriate, by sending you a notification through the Platform or via email.

Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.
